1. Acceptance of Terms
By accessing codebricks.co or engaging CodeBricks for services, you agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you and CodeBricks Global Pvt. Ltd.
If you are entering into these terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization.
2. Services
CodeBricks provides software development, design, and technology consulting services. The specific scope of work, deliverables, timeline, and fees for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement.
We reserve the right to modify, suspend, or discontinue any service with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of services.
3. Intellectual Property
Upon full payment of all fees for a project, CodeBricks assigns all intellectual property rights for custom-developed deliverables to the client, as specified in the relevant project agreement.

4. Payment Terms
Payment terms are defined in individual project agreements. Standard terms include:
Disputes regarding invoices must be raised within 14 days of receipt.
5. Confidentiality
Both parties agree to maintain the confidentiality of the other party's proprietary information. CodeBricks will sign project-specific NDAs upon request. This obligation survives termination of the engagement for a period of 3 years.
6. Limitation of Liability
To the maximum extent permitted by law, CodeBricks's aggregate liability for any claims arising under these terms shall not exceed the total fees paid by the client in the 12 months preceding the claim.
CodeBricks is not liable for indirect, incidental, special, or consequential damages including lost profits, data loss, or business interruption, even if advised of the possibility of such damages.
7. Governing Law & Disputes
These terms are governed by the laws of the State of California, USA. Any disputes shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the AAA Commercial Arbitration Rules in San Francisco, California.
